Strive, Inc. (Nasdaq: ASST) disclosed on August 31, 2026 that it bought 1,800 bitcoin between August 24 and August 28, lifting holdings to 23,156 BTC. The company paid roughly $79,431 per coin, including fees and expenses.

What Happened?

Strive, the bitcoin treasury company that took its Nasdaq listing through a merger with Asset Entities, reported the buy in a Form 8-K filed with the SEC. The filing sets the week’s balance sheet lines beside the prior week’s.

The average price of $79,431 sits well above the $73,409 Strive paid for 1,110 coins the week before, extending a run that carried the treasury past 20,000 BTC in July. Effective common shares outstanding rose to 93,262,570 from 89,683,423 over the same five days.

Strive also held 505,000 shares of the Variable Rate Series A Perpetual Stretch Preferred Stock issued by Strategy Inc. (formerly MicroStrategy), unchanged on the week. Fair value of that position edged up to $49.15 million from $48.57 million. ASST traded about 2.35% higher near $22.25 before the opening bell.

Equity Issuance Carried The Purchase

The filing does not tie proceeds to coins, but the share tables show where the money came from. Strive issued 3,579,147 Class A shares and 803,099 SATA preferred shares in the window it spent roughly $143 million on bitcoin, and cash still ended $11.6 million higher.

Preferred stock is where the pace changed. The prior week added 441,313 SATA shares against 3,646,300 Class A shares, so common issuance held steady while preferred issuance climbed by more than 360,000 shares. Strive names the cost in its own risk factors: “dilution caused by Strive’s issuance of additional shares of its Class A common stock or SATA Stock.“

Class B stock stayed at 9,792,535 shares and the 26,596,010 shares underlying traditional warrants did not move. The week’s dilution came from the two instruments funding the treasury, the same playbook that built Strategy’s much larger bitcoin position.

What The Filing Leaves Open?

The 8-K confirms the purchase and the share counts. It does not answer three questions:

  • How much of the roughly $143 million came from Class A sales and how much from SATA issuance?
  • What average price Strive received on either instrument during the week?
  • Whether the SATA dividend rate moves, an item the filing flags among its forward-looking subjects?

Shareholders following the cost of accumulation can read that arithmetic themselves. The Class A and SATA lines appear beside the bitcoin count in every weekly filing, so the coins added and the shares issued to add them sit in one table.

The Bottom Line

Strive is running an accumulation strategy funded by its own paper. Coins rise, and the share counts rise with them. The mechanism carries more information than the headline holdings figure, which says nothing on its own about what each remaining share owns.

Preferred stock is where any strain shows first. SATA carries a dividend Strive must fund, and 803,099 new preferred shares in five days enlarge that obligation while the bitcoin bought with the proceeds pays no income. The filing states the dilution risk among its cautionary factors and stops there.
