Trump Media & Technology Group Corp. (NASDAQ: DJT), the parent of Truth Social, told the SEC on August 10 that it has ended plans to build a publicly traded treasury company around Crypto.com’s CRO token. The company attached the article that first broke the news as Exhibit 99.1 to its own 8-K filing, a Regulation FD disclosure confirming the account on the record.
Sara Fischer broke the story for Axios on August 7, quoting interim chief executive Kevin McGurn. The planned venture, Trump Media Group CRO Strategy, would have used Crypto.com’s Cronos blockchain to accumulate and stake CRO tokens as a publicly traded vehicle, under a business combination agreement with Yorkville Acquisition Corp signed in August 2025 and amended that October.
Trump Media and Crypto.com also scaled back a planned prediction-market integration into Truth Social, swapping it for a marketing partnership instead. An existing Truth Social Funds arrangement continues.
“We wanted to get focused,” McGurn told Axios, describing a digital asset treasury market he called increasingly crowded. He said staking “has become less important for Crypto.com” and that the prediction market business had grown too crowded to justify further investment. CRO fell as much as 5% on the news, denting a token with roughly a $2.4 billion market capitalization.
The bitcoin math behind the retreat
Trump Media’s own treasury tells a sharper version of the same story. The company bought 11,542 BTC for about $1.37 billion, an average of $118,522 per coin, then started drawing it down in December. It has since moved out 7,281 BTC, including a 2,628 BTC transfer worth roughly $165 million to Crypto.com in early August.
That leaves about 4,261 BTC on hand, a balance that nearly matches the 4,260.73 BTC pledged as collateral against convertible notes maturing May 29, 2028. Most of the freely disposable bitcoin is effectively gone. Trump Media says the transfers were custody moves, not sales, while on-chain analyst Lookonchain has called the pattern consistent with a sale.
The company has already booked $318 million in realized losses on coins sold at an average $74,855 against its purchase price, plus $237 million in unrealized losses on what remains. Trump Media is not the only corporate bitcoin holder navigating a drawdown, but the size of the reversal here stands out against a purchase price built during a very different market.
Shareholders trying to settle the sale-or-custody dispute have one concrete place to look: Trump Media’s next quarterly filing, where a sale would show up as a realized loss and a custody shuffle would not.
The retreat also lines up with a stalled Washington agenda. The CLARITY Act, the crypto market-structure bill the industry wanted in hand before expanding treasury bets, missed its window ahead of Congress’s summer break, according to CoinDesk, still` tangled in a dispute over an ethics provision tied to Trump. That leaves Trump Media’s treasury retreat unfolding against a regulatory backdrop that is murkier than the one that greeted Trump-aligned crypto ventures a year ago.
Trump Media is steering its freed-up focus toward its pending merger with TAE Technologies, a fusion energy company it agreed to combine with in a $6 billion deal announced in December, and toward data licensing through its Truth API service, which the company says has around 10 customers so far. McGurn told Axios the TAE merger remains on track to close by the end of the year, pending a Form S-4 registration statement and shareholder approval. That closing date is now the next checkpoint for a company that spent 2025 building a crypto treasury it has spent most of 2026 taking apart.
