Circle Internet Group (NYSE: CRCL) received a limited purpose trust charter from the New York Department of Financial Services on July 31, 2026, three weeks after federal regulators granted the company a national trust bank charter.

What Happened?

Circle Internet Group, the company behind the USDC stablecoin, said the New York Department of Financial Services granted a limited purpose trust charter to Circle Internet Trust Company LLC, which will do business as Circle New York Trust. Circle disclosed the grant in a company press release issued from New York.

Circle said it became the first company to receive a BitLicense from NYDFS in 2015. The agency’s published licensee list carries Circle Internet Financial, LLC as a dual licensee holding a virtual currency license and a money transmitter license, a narrower authority than a trust charter.

Twelve Firms Reached This Charter First

NYDFS lists 12 companies with limited purpose trust company charters for virtual currency activity: Bastion Platforms, BitGo New York, Coinbase Custody, Fireblocks, Gemini, GMO-Z.com, ICE Digital Trust, MoonPay Trust Company, NYDIG, PayPal Digital, Standard Custody & Trust, and WisdomTree Digital Trust. Circle appears on none of them.

Gemini Trust Company took its charter on October 5, 2015, weeks after Circle collected the first BitLicense. BitGo New York Trust Company followed on March 4, 2021. Circle spent the intervening years selling dollar tokens in New York under a license that never conferred fiduciary powers.

The federal track moved faster. The Office of the Comptroller of the Currency granted final approval for Circle National Trust on July 10, 2026, chartered as First National Digital Currency Bank, N.A. Circle now answers to two trust regulators.

Implications for Stablecoin Oversight

USDC’s size is what gives the charter weight. Circle reported $77.0 billion of USDC in circulation at the close of the first quarter of 2026 in its 10-Q. DefiLlama put USDC’s on-chain market cap at $74.89 billion on June 21, 2026, a 23.80% share of a $314.68 billion stablecoin market spread across 382 tracked tokens. Quarterly transaction volume reached $21.5 trillion, up 263% year over year.

Supervision is multiplying around issuers of that size. More than 20 countries now run stablecoin-specific regimes, and 99 jurisdictions have adopted or are implementing virtual-asset AML rules. State trust charters now sit alongside the federal stablecoin law and the OCC’s national trust track, so a large issuer answers to several supervisors at once.

What the Announcement Leaves Open?

The release documents a charter grant and stops there. Circle named no launch date for Circle New York Trust, listed no permitted activities, and quoted no NYDFS official. The grant proves the agency approved the entity. It does not show what the entity will do.

Four questions stay open:

  • Which Circle activities move into the New York trust company, and whether USDC minting or redemption is among them.
  • How the New York entity splits work with Circle National Trust, the federally chartered bank approved this month.
  • Whether Circle keeps its BitLicense and money transmitter license alongside the new charter.
  • What capital, reserve, and reporting conditions NYDFS attached to the approval.

Institutional USDC counterparties can check which Circle legal entity their existing agreements name. Circle New York Trust is a newly chartered company under a separate name, and the announcement does not say that existing agreements move to it.

CoinLaw’s Takeaway

A limited purpose trust charter carries fiduciary powers under New York Banking Law and ongoing DFS examination, a supervisory step above the BitLicense Circle has held since 2015. For an issuer whose product is a redemption promise, the value sits in who inspects the reserves and how often.

The distance between the grant and the operation is where the read gets harder. Circle picked up a federal trust bank charter and a New York trust charter inside one month, and neither announcement explains how the two entities divide reserves, custody, or issuance. Twelve competitors reached the New York charter first, which makes this a catch-up on standing. What it buys is a supervisor in the jurisdiction where Circle already keeps its headquarters, and a paper trail that predates any future stress on the token.
