Strategy Inc (formerly MicroStrategy) filed a Form 8-K with the SEC on July 27, 2026, disclosing that it raised $544.5 million in stock sales last week but bought no bitcoin.

Key Takeaways

  • Strategy sold 5,429,160 shares of Class A common stock through its at-the-market program, raising $544.5 million in net proceeds for the week, per Strategy’s own weekly disclosure.
  • Strategy’s bitcoin holdings stood at 843,775 BTC, at an aggregate purchase price of $63.69 billion, and the company bought none during the period.
  • Strategy repurchased 288,930 shares of STRC preferred stock for $25.0 million, even as it kept selling common shares through the ATM.
  • Remaining ATM issuance capacity stood at $22,981.4 million, alongside $975.0 million in preferred-stock repurchase capacity and $1.0 billion for Class A common repurchases.
  • Strategy’s average bitcoin purchase price stands at $75,476 per coin, inclusive of fees, the benchmark now shaping how the market reads its treasury.

What Happened?

Strategy sold 5,429,160 shares of Class A common stock (MSTR) through its at-the-market program during the reporting week, generating $544.5 million in net proceeds. Strategy discloses this activity under the same SEC oversight. $22,981.4 million of ATM capacity remained available under the combined current offering and the previously announced $21.0 billion MSTR Increase.

Strategy confirmed 843,775 BTC on its balance sheet, with an aggregate purchase price of $63.69 billion and an average cost of $75,476 per coin, inclusive of fees. The company reported no bitcoin purchases during the week, even as its ATM program kept raising fresh capital in parallel.

Strategy has increased its USD Reserve by $525 million, achieving 2.1 years of dividend coverage. As of 7/26/2026, we hodl ₿843,775 in our BTC Reserve and $3.75 billion in our USD Reserve. $MSTR $STRC https://t.co/FASxJUHTkN

— Strategy (@Strategy) July 27, 2026

The Preferred-Stock Pivot

Strategy repurchased 288,930 shares of its STRC preferred stock for an aggregate $25.0 million during the same period, while other preferred series and common stock saw no repurchases. Remaining repurchase capacity totaled $975.0 million for preferred stock and $1.0 billion for Class A common stock. That dilution lands on the retail investing userbase: individual holders of MSTR common stock absorb the share count growth from each ATM sale.

Strategy is retiring higher cost preferred stock while it keeps selling common shares, a sequencing that reads as capital structure optimization rather than a treasury signal.

Implications for Strategy’s Bitcoin Treasury

Strategy’s USD Reserve stood at $3.75 billion as of the reporting date, including expected cash proceeds from unsettled ATM share sales. Add the remaining ATM headroom on top of that reserve and Strategy is sitting on tens of billions of dollars in undeployed capacity against a bitcoin position it already built, dry powder sized more like patience than urgency.

Buying nothing in a given week is not hesitation on bitcoin broadly. It reads as discipline on price and timing, with Strategy’s treasury standing as a rare fixed point.

CoinLaw’s Takeaway

This week’s $544.5 million raise separates two things that normally move together for Strategy: fundraising and accumulation. The stock sale program stayed active, the preferred buyback moved forward, and the bitcoin position did not grow.

That combination reads as a company managing its capital structure carefully while it waits on price, not one stepping back from bitcoin as a strategy. The preferred repurchase, funded in part by proceeds that also dilute common shareholders, suggests management is optimizing the balance sheet’s cost of capital even as it keeps building room to buy more bitcoin later.

None of this points to where bitcoin’s price goes next, and nothing here should be read as investment guidance. What it does show is a company treating its own stock and its own preferred shares as levers to pull independently of its bitcoin thesis, using each program on its own schedule rather than tying every capital decision to a bitcoin purchase. A quiet week for new coins is not the same as a quiet week for the balance sheet.
