What Happened?

Strive reported the buy in an Item 8.01 current report signed by Chief Executive Officer Matthew Cole. The filing states that the company “purchased 1,110 bitcoin at an average price of approximately $73,409 per bitcoin, inclusive of fees and expenses.“

The purchase lifted total holdings to 21,356 bitcoin. Strive separately held 505,000 shares of the Variable Rate Series A Perpetual Stretch Preferred Stock of Strategy (formerly MicroStrategy), a position it carried at a fair value of $48,571,000 against $47,864,000 a week earlier. That share count did not move, so the increase came from repricing rather than accumulation.

Weekly treasury disclosures have become routine for the company, which emerged from a merger with Semler Scientific, Inc. and whose prior update put holdings just above 20,000 coins.

Strive sold stock into the market across the same window. Class A shares outstanding rose by 3,646,300 and the SATA preferred count rose by 441,313, while Class B common stayed pinned at 9,792,535. Cash finished the week $17.1 million higher than it started.

The filing reports share counts and a closing cash balance, not proceeds, so the split between the common and preferred sales cannot be read from the table. What it does establish is that the equity sales covered the coin purchase and still left the balance sheet with more cash. The mechanics resemble Strategy’s at-the-market equity program, which raises against listed stock on a rolling basis.

Warrants and Preferred Sit Behind the Common Shares

Assumed fully diluted shares reached 92,949,226 by the close of the week, a figure that counts 996,963 options and 2,268,840 unvested employee stock awards. Both held steady, which means the entire increase in the diluted count traces to Class A issuance.

Sitting outside that number are 26,596,010 shares underlying traditional warrants. Strive excludes them because exercise requires payment of the exercise price, and the published dilution figure therefore understates what a fully exercised warrant book would do to the share count. What the Filing Leaves Open?

Four questions go unanswered in the disclosure:

  • What did the Class A and SATA sales actually raise? The company reports share counts and a cash balance, and no proceeds figure appears.
  • Will the SATA dividend rate change? The forward-looking section names Strive’s intentions on adjusting that rate as a risk topic without stating them.
  • Does the 505,000-share STRC position stay put? The count has held flat, and the filing sets out no plan for it.
  • How far along is the Semler Scientific integration? Integration of the combined businesses appears among the listed risks with no status update attached.
